Job Description:

A position of Manager Corporate Finance exists in Santam. This role may be based at Head Office Tygervalley or Alice Lane Sandton and reports directly to the Chief Financial Officer. The overall purpose of this technical corporate finance specialist role is to lead, manage and execute merger and acquisition related projects and to ensure alignment of projects with Santam’s strategic objectives.

The successful incumbent will form part of the Corporate Finance team in support of business expansion through acquisitions, mergers and financing transactions and involvement in a broad range of corporate finance initiatives. This role will support the implementation of the corporate finance strategy and plan in partnership with respective internal and external stakeholders.

Job Responsibilities:

  • Structuring, negotiating and closing of transactions, including drafting of transaction proposals and non-binding offer letters.
  • Leading the due diligence process for approved transactions.
  • Identify and pursue potential transactions in support of the Santam Group corporate finance strategy.
    Ensure adequate resources and management of these resources (in terms of skills required, internal and in-sourced). This includes interaction with investment banks and legal advisors for larger transactions.
    Ensure appropriate governance requirements are complied with e.g. regulatory approvals (Competition authorities, Prudential Authority, SARB, JSE, TRP), Exco and Board approvals.
  • Detailed review of legal agreements to ensure commercial terms are appropriately reflected and transaction risks are adequately addressed.
  • Perform appropriate detailed valuations of targeted entities, including scenario analyses.
  • Providing a Corporate Finance advisory service across the Santam Group.

Job Requirements:

  • Project management principles, experience and understanding
  • Specialist financial knowledge and commercial thinking
  • Excellent working knowledge of SA Companies Act, SA Competition Act,  JSE Listing
  • Requirements, Short-term Insurance Act (preferable) and SARB regulations
  • Ability to apply skills across a broad spectrum of financial disciplines and to deal with both
  • internal and external stakeholders across all levels
  • Knowledge / experience in the short-term insurance industry is preferable
  • Advanced valuation and financial modelling skills
  • Completed articles at reputable audit firm plus relevant post-articles corporate finance experience
  • At least 5 years relevant experience at a managerial level
