Job Description:
As a Barclays ECM Lawyer you will provide legal support and legal and reputational risk management for transactions and activities undertaken within the ECM and equity-linked (“ECM”) businesses, as well as the Corporate Broking business, in the Investment Bank in EME across a broad range of products (e.g. IPOs, secondary/follow-on offerings, block trades, ECM liability management transactions, convertible/exchangeable bonds) and jurisdictions.
Job Responsibilities:
- Reviewing and advising on comfort letters, legal and disclosure opinions and other conditions precedent
- Collaborating closely with compliance and other infrastructure teams on cross-functional issues relevant to the ECM business
- Acting as an escalation point for risk events and issues, operating as a trusted adviser to the ECM, Equity Syndicate and Corporate Broking teams
- Providing legal and reputational risk management support for ECM transactions and activities and ongoing Corporate Broking mandates
- Instructing and managing external counsel and drafting, maintaining and updating standard form documents, templates and practice notes and assisting driving policy
- Providing advice and support on transactional, regulatory and governance matters and providing legal and transaction management support
- Providing support on all legal aspects of firm and functional regulatory and strategic projects applicable to the ECM and wider Banking business
- Delivering updates on relevant legal, regulatory and governance matters to senior management within both legal and the front office
Job Requirements:
- Good knowledge of investment banking or other financial services experience
- Broad knowledge of a range of ECM products and transactions – previous experience of US securities law issues beneficial
- Explains clearly and logically – able to put across complex points in a manner that enables them to be readily understood
- Subject matter expert in capital markets investment banking products and across major aspects of relevant financial regulation impacting capital markets
- Quality product, technical, legal and other risk awareness skills
