Job Description:

Provide advisory and consultative specialist support and assistance to members of the Board, and Board Committees. To perform duties as Assistant Company Secretary according to legislative and regulatory requirements to ensure high level of Corporate Governance is maintained throughout the organisation.

Job Responsibilities:

  • Meeting administration and management (i.e. arrange meetings, prepare agendas, compile and circulate meeting packs, draft minutes, distribute minutes, etc.) in accordance with Companies Act
  • Provide advice to Board members, individually and collectively on their duties, responsibilities and powers.
  • Maintain a library of all statutory documentation and maintain a registry to ensure that all documents are filed accurately and available when required
  • Inductions of directors
  • Drafting and updating of Board and Committee Charters
  • Board and Committee assessments
  • Carrying out the functions of a person who is designated in terms of section 33 of the Companies Act as the person responsible for the Post Office’s compliance with the requirements of filing the annual return for the Post Office
  • Provide specialist support and assistance relating to Ethics throughout the organisation
  • Ensure CIPC lodgements – company and director amendments for the Post Office and subsidiary companies
  • Research and share, new developments / case studies to improve Governance, Ethics, Board and Executive Effectiveness
  • Ensure the efficient management, compliance, control and reporting of the function / resources in accordance with the stipulations of the PFMA, fraud prevention and risk management principles, corporate governance, legislation, company policies, processes, regulations, Delegation of Authority, etc.

Qualification & Experience:

  • National Diploma/ Bachelor Degree (Law, Commerce, Administration, Business Administration or other relevant field) (NQF 6/7)
  • 3 – 5 years’ experience as Company Secretary or Assistant Company Secretary
  • Possession of a CIS or Company Secretarial qualification (an added advantage)
  • Computer literate (Ms Word, Excel & 1 PowerPoint)
